1. Who we are
Popzu is an advertising network operated by Popnet, Inc., a company organized under the laws of the State of Delaware, with its registered office at [registered office address]. "We", "us" and "our" mean Popnet, Inc.
2. Your account
You must be at least 18 years old and able to enter a binding contract. Give accurate details and keep them up to date. You are responsible for everything done with your account; keep your password and two-factor device safe and tell us at once if you suspect misuse.
One person or company may hold one publisher and one advertiser account. We may refuse, suspend or close accounts that break these terms or our policies.
3. Publishers
- You may only place our code on websites you own or control and that you added and we approved in your dashboard.
- You earn 70% of the amount advertisers pay for paid opens on your zones, as shown in your dashboard. Opens we classify as invalid (bots, data centers, abnormal patterns, policy breaches) are not paid.
- Earnings are held for 7 days for fraud checks, then become available for withdrawal. The minimum payout is $5. We process payouts weekly on Tuesdays.
- Before a payout of $3,000 or more, or once your payouts reach $3,000 in 12 months, you must verify your identity. We may ask for tax forms (W-9 or W-8BEN) before paying you.
- Forbidden: generating opens yourself, paying or rewarding users for opens, hidden or stacked placements, auto-refresh, pop-up chains, traffic exchanges, bots, and placing code on sites with illegal content.
- If we find invalid traffic, we may withhold the affected earnings, deduct earnings already credited for it, and close the account.
4. Advertisers
- Campaigns are prepaid. You add funds by card, crypto or bank transfer and campaigns spend from your balance at the CPM you bid.
- Every campaign and landing page must follow our Advertising Policy. We review campaigns before they run and may pause or reject them at any time.
- You are billed only for paid opens. Opens we filter as invalid are not billed.
- Unspent balance is refundable on request within 12 months of the deposit, minus payment processing fees, unless the account was closed for a breach of these terms.
- Chargebacks or disputed payments place the account under review: campaigns pause and we may ask for documents to confirm the payment was yours.
5. Fees and taxes
Prices and revenue shares are shown in the dashboard and on our website. You are responsible for your own taxes. Where the law requires, we may withhold tax from publisher payments or report them to tax authorities.
6. Content and intellectual property
You keep the rights in your ads and websites. You give us a licence to display, cache and review your ads and landing pages as needed to run the network. Our software, scripts and dashboard remain ours; do not copy, reverse engineer or resell them.
7. Availability and changes
We work to keep the service available but do not promise it will be uninterrupted or error-free. We may change features, prices or these terms; we will email you at least 14 days before a change that reduces your rights or revenue share takes effect.
8. Liability
The service is provided "as is". To the extent the law allows, we are not liable for indirect or consequential losses, lost profits or lost data, and our total liability in any 12-month period is limited to the amounts we paid you or you paid us in that period.
9. Termination
You may close your account at any time from support. We may suspend or close an account for a breach of these terms, a legal requirement or a security risk. Available publisher earnings not affected by a breach are paid out after closure; remaining advertiser balance is handled under section 4.
10. Law and disputes
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Courts located there have exclusive jurisdiction, unless consumer law in your country gives you other rights.
